3. Eligibility

4. Scope of Services

The scope, deliverables, pricing, milestones, and timelines for each project will be defined in a written proposal, quotation, statement of work, contract, or purchase order.

Unless explicitly stated in writing, no additional services are included beyond the agreed scope.

Any request outside the agreed scope may require a separate quotation, revised timeline, and additional fees.

5. Client Responsibilities

To enable successful project delivery, the Client agrees to:

• Provide accurate and complete project information.
• Supply required content, branding assets, and approvals in a timely manner.
• Review deliverables and provide feedback within agreed timeframes.
• Ensure they have the necessary rights to all materials provided to Eaze Mate Techs.
• Make payments according to the agreed schedule.

Delays in providing required information or approvals may affect project timelines.

6. Project Timelines

Estimated timelines are based on the timely receipt of required information, approvals, and payments.

Project schedules may be adjusted due to:

• Client-requested revisions
• Scope changes
• Delayed approvals
• Third-party service delays
• Force majeure events
• Technical limitations beyond our reasonable control

Unless specifically agreed in writing, delivery dates are estimates and not guarantees.

7. Pricing & Payment

All fees will be specified in the applicable proposal, quotation, or agreement.

Unless otherwise agreed:

• An advance payment may be required before work begins.
• Remaining payments are due according to agreed milestones.
• Recurring services are billed in advance.
• Taxes, duties, or government charges are the responsibility of the Client unless stated otherwise.

Late payments may result in suspension of services until outstanding amounts are settled.

8. Revisions

Unless otherwise specified in the project agreement:

• Reasonable revisions are included within the agreed project scope.
• Requests introducing new functionality, significant design changes, or additional features may be treated as change requests and billed separately.

9. Intellectual Property

Unless otherwise agreed in writing:

• The Client receives ownership of the final approved deliverables after full payment of all outstanding invoices.
• Eaze Mate Techs retains ownership of its proprietary methodologies, frameworks, reusable code, templates, automation systems, libraries, internal tools, and know-how.
• Third-party software, open-source components, fonts, plugins, APIs, and licensed assets remain subject to their respective licenses.

10. Portfolio Rights

Unless restricted by a written confidentiality agreement, Eaze Mate Techs may reference completed projects in its portfolio, proposals, presentations, marketing materials, website, and social media solely to demonstrate its capabilities.

Confidential information will not be disclosed without authorization.

11. Confidentiality

Both parties agree to keep confidential information private and use it only for purposes related to the project.

Confidential information includes, but is not limited to:

• Business strategies
• Customer information
• Financial information
• Technical documentation
• Proprietary software
• Credentials
• Internal processes

This obligation survives the completion or termination of the project.

12. Artificial Intelligence Services

Where AI-powered services are provided, including AI Business Agents, AI Chatbots, WhatsApp Automation, workflow automation, or machine learning solutions:

• AI-generated outputs may require human review.
• The Client remains responsible for verifying outputs before business-critical use.
• AI services may rely on third-party platforms and technologies.
• Eaze Mate Techs does not guarantee that AI-generated content will always be complete, accurate, or error-free.

13. Third-Party Services

Projects may involve third-party services such as:

• Cloud hosting
• Domain registration
• Payment gateways
• Email providers
• Maps
• AI platforms
• Analytics tools
• Social media platforms
• CRM systems

These services are governed by the terms and policies of their respective providers.

Eaze Mate Techs is not responsible for third-party outages, pricing changes, policy updates, or service discontinuation.

14. Acceptable Use

Clients shall not use our services to:

• Engage in unlawful activities.
• Infringe intellectual property rights.
• Distribute malware or malicious code.
• Transmit spam or unauthorized communications.
• Harass, threaten, or defame others.
• Access systems without authorization.
• Facilitate fraudulent or deceptive activities.

We reserve the right to suspend or terminate services where misuse is identified.

15. Warranties

Eaze Mate Techs will perform services with reasonable professional care and skill.

Except as expressly stated in a written agreement, services are provided "as is" and "as available".

We do not warrant that:

• Services will be uninterrupted.
• Software will be completely error-free.
• Third-party platforms will remain available.
• Search engine rankings or marketing outcomes can be guaranteed.

Business success depends on numerous factors beyond our control.

16. Limitation of Liability

To the maximum extent permitted by applicable law:

• Eaze Mate Techs shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data.
• Our total aggregate liability arising from a project shall not exceed the total fees actually paid to Eaze Mate Techs for the specific project giving rise to the claim, unless otherwise required by law.

Nothing in these Terms excludes liability that cannot legally be excluded.

17. Indemnification

The Client agrees to indemnify and hold harmless Eaze Mate Techs, its directors, employees, contractors, and affiliates from claims, losses, liabilities, costs, or expenses arising from:

• Materials supplied by the Client.
• Misuse of deliverables.
• Violation of applicable laws.
• Infringement of third-party rights by Client-provided content.

18. Suspension & Termination

Either party may terminate a project in accordance with the applicable agreement.

Eaze Mate Techs reserves the right to suspend or terminate services where:

• Payments remain overdue.
• The Client breaches these Terms.
• Continued service would violate applicable law.
• Abusive or threatening conduct occurs.

Fees earned up to the termination date remain payable.

19. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, acts of government, labor disputes, internet failures, cyberattacks, utility outages, or other unforeseen events.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction specified in the applicable client agreement or, where none is specified, the laws governing Eaze Mate Techs' principal place of business.

21. Dispute Resolution

The parties agree to make reasonable efforts to resolve disputes through good-faith negotiation before commencing formal legal proceedings, unless urgent legal relief is required.

22. Amendments

Eaze Mate Techs may update these Terms from time to time.

Updated versions will be published on our website with the revised "Last Updated" date.

Continued use of our website or services after publication constitutes acceptance of the updated Terms.

23. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
